Terms of Service, Privacy & Disclaimer
Intended users; not legal advice
By accessing Structura you agree to these terms. Structura is a professional-grade tool designed for investment professionals experienced in the private funds industry, including fund-formation attorneys and sponsor business and finance teams. It assumes the user has the professional background to independently evaluate, validate, and apply its outputs. It is not designed for, and should not be relied upon by, persons without that experience as a substitute for professional advice.
Structura is an educational and illustrative fund architecture platform, built on a first-principles fund formation simulator. It does not provide legal, tax, accounting, investment, or other professional advice, and your use of it does not create an attorney-client relationship. Its outputs are general illustrations that may omit facts material to your situation and that may not reflect current law. Tax rates, deduction and exclusion percentages, dollar thresholds, filing fees, cost assumptions, and similar figures are set by statute, regulation, or third parties and change from time to time; any figure shown is an illustrative default for a stated period and may not be current, so confirm the applicable figure for the relevant year before relying on it. Do not implement, rely on, or advise others on any structure generated here without first consulting a qualified attorney and tax adviser.
Privacy & data handling
How your information is handled depends on what you do in the application:
Structuring analysis. As you build, the design-rule review runs automatically, and when you use Solve, generate a Fund Design Report, or generate a document list, the structure you have built (entities, connections, and the terms you enter) is sent to AnchorPoint Labs servers to be analyzed, and is processed transiently to return the result. It is not used to train any model.
Cloud save (optional). If you choose “Save to cloud,” the structure you save is stored on AnchorPoint Labs servers, encrypted at rest, and scoped to your signed-in account so that only you can retrieve it. You may rename, move or permanently delete your cloud structures at any time from “My Structures.”
AI assistance (optional). When you use an AI feature, the assistant (questions about your structure), build-from-a-description, what-if changes, or reading an uploaded chart or PDF, the relevant input (your question and a summary of the current structure, your text description, the change you request, or the file you upload) is sent to AnchorPoint Labs servers and on to a third-party AI provider (currently Anthropic, the maker of Claude) solely to generate the response. AnchorPoint Labs does not retain that input beyond returning the result. The provider processes it under commercial API terms that do not permit using it to train the provider’s models; under those terms the provider retains API inputs and outputs for a limited period (as of the date of these terms, up to approximately 30 days) to operate and secure its service, and then deletes them. Provider practices are set by the provider and may change; current practices are described in the provider’s own documentation. These features are optional and can be turned off in the File menu, which removes every AI entry point; please avoid entering client-identifying information.
Local copies. Files you export with “Save to computer,” and any snapshots you take with “Snapshot (This Device),” stay on your own device. Structura does not automatically save your working structures inside the browser; to keep a structure across sessions, use “Save to cloud” or download it with “Save to computer.”
Confidentiality & privilege
You are responsible for ensuring that your use of Structura, including any client or confidential information you enter, complies with your own confidentiality, privacy, and professional-responsibility obligations. Do not enter information you are not authorized to process. Enter only the information the analysis needs: exclude sensitive information such as personal data, account numbers, investor-identifying details, and material non-public information, and use generic entity names where possible. AnchorPoint Labs makes no representation that use of Structura preserves attorney-client privilege, work-product protection, or any duty of confidentiality; whether a given use is consistent with those protections and duties depends on facts outside AnchorPoint Labs’ control and is for you and your counsel to determine.
AI features & data
Certain optional features are AI-assisted, including the assistant, build-from-a-description, what-if changes, and reading an uploaded chart or PDF. AI output is probabilistic and may be inaccurate, incomplete, or not current, and may misread or misinterpret your input. These features are provided solely to assist an experienced professional and are not legal, tax, or investment advice. You must independently review and verify every AI-assisted result before relying on it. To the fullest extent permitted by law, AnchorPoint Labs is not liable for any AI output or for any reliance on it.
Account, cookies & security
Account. To operate invite-only sign-in, your email address, sign-in events, session activity, and (if enabled) your two-factor enrollment are stored. Two-factor secrets are encrypted. Your acceptance of these terms (version and time) is recorded to your account.
Cookies & local storage. Structura does not use advertising or cross-site tracking cookies. To operate, it stores a small amount of data in your browser: a sign-in session cookie (when invite-only sign-in is on), an indicator that you have entered, a randomly generated install identifier, and your preferences. If you are signed out automatically for inactivity, a temporary recovery copy of your open work is stored in your browser so it is not lost; it is offered back to you once on your next sign-in and then cleared. You can clear browser-stored data at any time through your browser settings.
Product analytics. Structura uses a product-analytics service (currently PostHog) to record usage events, for example that a feature was opened or an analysis was run, together with technical information such as browser type and a random identifier. These events describe how the application is used; the content of your structures (entity names, terms you enter, notes, and uploaded files) is not included in analytics events. Analytics data is used to operate and improve Structura.
Security. AnchorPoint Labs uses measures such as invite-only access, optional two-factor authentication, encryption of stored secrets and cloud structures, and automatic session timeouts. No method of transmission or storage is completely secure, however, and no warranty of security is given. You are responsible for safeguarding your sign-in credentials and authenticator device.
License; availability; updates
License. Access is granted under a personal, non-transferable, revocable license; do not share your access key or sign-in link. Structura is provided for informational and illustrative purposes only. You are responsible for independently verifying any structure with qualified counsel and a tax adviser before relying on it or implementing it.
Cloud storage. Cloud save is offered as a convenience, not as a system of record. Although your saved structures are encrypted at rest and scoped to your account, you remain responsible for keeping your own copies of anything important (for example, by also saving to your computer). AnchorPoint Labs may set reasonable storage limits and does not guarantee that stored data will be preserved without loss. You authorize AnchorPoint Labs to store and process your content as needed to provide the service.
Availability. Structura is a beta service provided on an “as available” basis. Features may change, and access may be suspended, limited, or discontinued at any time. On termination, your cloud-stored structures may be deleted.
Updates and versioning. Structura is updated over time — its rules, datasets, defaults, calculations, models, and layout change between versions. A structure, file, term sheet, document checklist, or analysis you created under one version may render, calculate, or be analyzed differently — or, in rare cases, incompletely — under a later version. Each saved file records the version that produced it (shown in the app), and you should re-open and re-review prior work after an update before relying on it. To the fullest extent permitted by law, AnchorPoint Labs is not responsible for any change to, incompatibility with, or effect on previously created structures, files, outputs, or analyses arising from an update or version change.
Proprietary
Structura, its design, content, and underlying logic are the confidential and proprietary property of AnchorPoint Labs, Inc. This includes, without limitation, Structura’s data model and taxonomy (the entity, investor, and asset types and attributes it elicits and how they are organized and related), its design rules and analyses, its rankings and generated structures, its datasets, its citations and cross-references, its cost model, and the selection, arrangement, and presentation of all of the foregoing, each of which is protected as a proprietary compilation whether or not individual elements are visible in the interface or in saved files.
You may not, and may not permit or assist anyone else to: (a) copy, reverse-engineer, decompile, or attempt to derive Structura’s rules, logic, scoring, datasets, or models, including by systematically exercising the service, comparing inputs to outputs, or analyzing saved files or generated documents for that purpose; (b) scrape, harvest, or systematically extract any content, taxonomy, or data from the service, whether manually or by automated means (including by directing an AI system to do so); (c) use the service, its outputs, or its organization of information to develop, train, improve, or inform a competing product or dataset; or (d) redistribute the service or create derivative works from it — in each case except with AnchorPoint Labs’ prior written permission or to the extent a restriction is unenforceable under applicable law. Your own client facts remain yours; these restrictions cover Structura, not your data.
“As is”; limitation of liability; governing law
Structura is provided “as is,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the fullest extent permitted by law, AnchorPoint Labs, Inc. is not liable for any direct, indirect, incidental, or consequential damages (including loss of data or lost profits) arising from your use of, or reliance on, Structura or any output it produces. These terms are governed by the laws of the State of Illinois.
